TALPIKE LLC
MASTER TERMS OF SERVICE AND SERVICE AGREEMENT
Effective Date: January, 2, 2026
These Master Terms of Service and Service Agreement (the “Agreement”) govern all access to and use of the websites, platforms, intelligence products, monitoring services, research deliverables, analytical outputs, subscriptions, advisory materials, and related services provided by Talpike LLC, a Wyoming limited liability company (“Talpike,” “Company,” “we,” “us,” or “our”).
This Agreement is a legally binding contract between Talpike and the individual or entity accessing or using the Services (“Client,” “you,” or “your”).
By accessing any Talpike website, executing an order form, submitting payment, accessing deliverables, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree, you must not access or use the Services.
1. AUTHORITY AND ACCEPTANCE
You represent and warrant that you are of legal age and possess full authority to enter into this Agreement on behalf of yourself or the entity you represent. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity.
This Agreement supersedes all prior or contemporaneous communications, proposals, representations, marketing materials, or agreements, whether written or oral, relating to the Services.
No amendment or modification shall be binding unless made in writing and expressly adopted by Talpike.
2. NATURE OF SERVICES; ADVISORY ONLY; NO RELIANCE
Talpike provides intelligence-based research, monitoring, market scanning, signal detection, analytical synthesis, prioritization frameworks, and strategic advisory outputs for informational purposes only (the “Services”).
Talpike is not a broker, finder, intermediary, placement agent, investment advisor, legal advisor, financial advisor, valuation provider, due diligence provider, compliance advisor, or transaction facilitator. Talpike does not solicit transactions, negotiate terms, introduce parties for compensation, structure deals, execute transactions, or receive transaction-based compensation, commissions, success fees, or brokerage fees.
All Services are based on publicly available information, lawful open-source intelligence, third-party data sources, client-provided inputs, analytical interpretation, and professional judgment. Information may be incomplete, inaccurate, delayed, probabilistic, or subject to change without notice.
Client expressly acknowledges and agrees that:
3. SUBSCRIPTIONS, FEES, BILLING, AND PAYMENT
3.1 Fees
All fees are specified in Talpike’s pricing materials, order forms, proposals, or invoices and are payable in advance unless otherwise agreed in writing. All fees are non-refundable except as expressly stated in Talpike’s Refund & Cancellation Policy.
3.2 Automatic Renewal
Unless otherwise stated in writing, subscriptions automatically renew for successive billing periods unless Client provides written notice of cancellation no fewer than five (5) business days prior to the next billing date.
3.3 Pricing Changes
Talpike reserves the right to modify pricing, service scope, packaging, or billing structure upon renewal with at least thirty (30) days’ written notice.
3.4 Payment Authorization
Client authorizes Talpike and its designated payment processors to charge all fees, taxes, and authorized charges to Client’s selected payment method.
Client is responsible for maintaining accurate billing information.
3.5 Late Payments and Suspension
Outstanding balances may accrue interest at one and one-half percent (1.5%) per month or the maximum permitted by law. Talpike may suspend or terminate Services immediately for nonpayment without liability.
3.6 Collections
Client agrees to pay all reasonable costs incurred by Talpike in collecting unpaid amounts, including attorneys’ fees and collection costs.
3.7 Taxes
Client is responsible for all taxes arising from the purchase or use of the Services, excluding taxes based on Talpike’s net income.
4. CLIENT RESPONSIBILITIES AND COMPLIANCE

5. INTELLECTUAL PROPERTY
All intellectual property rights in and to the Services, including methodologies, analytical frameworks, workflows, scoring logic, software, databases, templates, trade secrets, and derivative works, are and shall remain the exclusive property of Talpike.
Upon full payment, Client is granted a limited, non-exclusive, non-transferable, revocable license to use deliverables internally for Client’s own business purposes only.
No ownership rights are transferred.
6. DATA; CONFIDENTIALITY
Client retains ownership of Client-submitted data. Talpike may use aggregated, anonymized data for analytics, benchmarking, service improvement, and internal research.
Each party agrees to maintain confidentiality of non-public information received from the other party.
Upon termination, Client may request export of its data within thirty (30) days, after which Talpike may delete such data unless legally required to retain it.
7. THIRD-PARTY DEPENDENCIES
The Services may rely on third-party platforms, data sources, infrastructure providers, and APIs. Talpike does not control and is not responsible for availability, accuracy, reliability, legality, or continuity of third-party services.
Interruptions or changes in third-party services do not constitute breach by Talpike.
8. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, AVAILABILITY, OR PERFORMANCE OUTCOMES.
Talpike does not warrant uninterrupted operation, error-free outputs, or data completeness.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law:

Client shall defend, indemnify, and hold harmless Talpike and its members, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, and expenses (including attorneys’ fees) arising from:
Client’s use of the Services;
Client’s business decisions or transactions;
Client’s regulatory or legal violations;
Client’s misuse of deliverables;
Client’s breach of this Agreement.
11. DISPUTE RESOLUTION; CONDUCT
The parties agree to attempt good faith resolution prior to litigation.
Client agrees not to publish knowingly false or materially misleading statements regarding Talpike or the Services prior to completion of dispute resolution.
To the fullest extent permitted by law, Client waives the right to participate in class actions and jury trials.
12. TERMINATION
Talpike may suspend or terminate Services immediately for:

Talpike shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, government actions, infrastructure failures, labor disputes, pandemics, or internet outages.
14. GOVERNING LAW AND VENUE
This Agreement shall be governed by the laws of the State of Wyoming without regard to conflict of law principles. Exclusive venue shall lie in the state or federal courts located within Wyoming.
15. ASSIGNMENT
Client may not assign this Agreement without Talpike’s prior written consent. Talpike may assign freely.
16. SEVERABILITY; SURVIVAL
If any provision is held unenforceable, the remaining provisions shall remain in effect. Provisions relating to payment, IP, confidentiality, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination.
17. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements and representations.

No Refund Policy
Due to the nature of Talpike’s services, all fees are non-refundable. Talpike engagements involve: Custom research, manual analyst labor, proprietary intelligence workflows, and irrecoverable time and cost once initiated.
Talpike does not offer refunds for: Pilot engagements, subscription services, monitoring services, partially completed work, or client dissatisfaction with outcomes.
Pre-Engagement Evaluation
Talpike provides demonstration artifacts, scope clarification, and opportunity to assess fit prior to engagement. By proceeding, the client acknowledges sufficient opportunity to evaluate methodology.
No Outcome Guarantees
Talpike does not guarantee acquisition success, deal closure, pricing outcomes, or target responsiveness. Refunds will not be issued based on lack of transactions.
